User Agreement

1. About Sea of Seats

Sea of Seats is a digital ticketing and booking platform that may facilitate the discovery, reservation and purchase of tickets and services including:

• Movies and cinema tickets;
• Concerts;
• Music events;
• Sports events;
• Entertainment events;
• Theatre and cultural events;
• Travel and transportation;
• Airline tickets;
• Railway and metro bookings;
• Bus or other transportation services;
• Hotels and accommodation;
• Activities and experiences; and
• Other products and services offered through the Platform.

Sea of Seats may provide certain services directly or may act as an intermediary, facilitator, marketplace or booking platform connecting Users with third-party organisers, operators, venues, suppliers and service providers ("Service Providers").

2. Acceptance of This Agreement

By using the Platform, you represent and confirm that:

1. You have read this Agreement;
2. You understand its provisions;
3. You have the legal capacity to enter into an agreement;
4. The information provided by you is accurate;
5. You agree to comply with applicable laws;
6. You agree to Sea of Seats' Terms & Conditions;
7. You agree to the applicable Privacy Policy; and
8. You agree to the applicable Cancellation & Refund Policy.

Where you make a booking for another person, you confirm that you have authority to provide the information necessary for that booking.

3. Eligibility

The Platform is intended for users who are legally capable of entering into binding contracts.

If you are under the age permitted to independently enter into such contracts under applicable law, you must use the Platform under the supervision and with the involvement of a parent or lawful guardian where required.

Sea of Seats may restrict or terminate access where it reasonably believes that a User does not satisfy applicable eligibility requirements.

4. User Account

Certain Platform features may require the creation of a User account.

When creating an account, you agree to provide:

• Your correct name;
• Valid email address;
• Valid mobile number;
• Accurate account information; and
• Any additional information reasonably required for the requested service.

You are responsible for maintaining the accuracy of your account information.

You must promptly update information that becomes inaccurate or outdated.

5. Account Security

You are responsible for protecting your account credentials.

You must not:

• Share your password with another person;
• Allow unauthorised access to your account;
• Attempt to access another User's account;
• Use another person's credentials without authorisation; or
• Circumvent account-security mechanisms.

If you believe your account has been compromised, you must notify Sea of Seats as soon as reasonably possible.

Sea of Seats may temporarily restrict access to an account where necessary to protect the User, Platform or other Users.

6. User Information

You agree that information submitted through the Platform shall be:

• Accurate;
• Complete;
• Current;
• Lawful; and
• Not misleading.

Sea of Seats may rely upon information supplied by you for processing bookings, payments, communications and other requested services.

Sea of Seats shall not ordinarily be responsible for problems arising solely from incorrect information supplied by the User.

7. Bookings

A User may make bookings through the Platform for available products or services.

A booking request is not necessarily a confirmed booking until:

1. Availability has been confirmed;
2. Required payment has been successfully processed; and
3. Sea of Seats or the relevant Service Provider issues a booking confirmation, ticket, booking reference, QR code, PNR or equivalent confirmation.

The User should carefully verify booking details before completing payment.

8. User Responsibility for Bookings

The User is responsible for reviewing:

• Date;
• Time;
• Venue;
• Location;
• Number of tickets;
• Seat category;
• Passenger details;
• Guest details;
• Travel details;
• Hotel information;
• Cancellation conditions; and
• Other booking information

before confirming the transaction.

Once a booking is confirmed, changes or cancellations may be restricted.

9. Ticket and Service Conditions

Individual tickets and bookings may be subject to additional conditions imposed by the relevant Service Provider.

These may include:

• Age restrictions;
• Identification requirements;
• Entry conditions;
• Dress codes;
• Security procedures;
• Baggage restrictions;
• Check-in deadlines;
• Cancellation restrictions;
• Refund rules;
• Venue rules; and
• Other service-specific requirements.

The User agrees to comply with all applicable conditions.

10. Payments

Users agree to pay all amounts displayed at checkout before completing a booking.

Depending upon the service, the total amount may include:

• Ticket price;
• Service fee;
• Convenience fee;
• Taxes;
• Booking charges;
• Delivery charges;
• Payment-related charges; or
• Other applicable charges.

Payment may be processed through third-party payment gateways, banks, card networks or other authorised payment providers.

11. International Payments

Sea of Seats may permit Users outside India to make payments using supported international payment methods.

International transactions may be subject to:

• Currency conversion;
• Foreign-exchange rates;
• International transaction charges;
• Bank fees;
• Card issuer charges;
• Payment network requirements; and
• Applicable Indian and foreign laws.

Sea of Seats is not responsible for charges independently imposed by the User's bank, card issuer or financial institution.

12. Cancellations and Refunds

Cancellations and refunds shall be governed by the applicable Sea of Seats Cancellation & Refund Policy and the conditions displayed for the particular booking.

Users acknowledge that:

• Some bookings may be non-refundable;
• Cancellation deadlines may apply;
• Cancellation charges may apply;
• Convenience or service fees may be non-refundable;
• Third-party Service Provider policies may apply; and
• Refund processing may take time depending on the payment method.

The User agrees to review the applicable cancellation conditions before completing a transaction.

13. Third-Party Service Providers

Sea of Seats may facilitate services provided by independent third parties.

These may include:

• Cinemas;
• Event organisers;
• Sports organisations;
• Venues;
• Airlines;
• Rail operators;
• Hotels;
• Transport operators;
• Travel companies; and
• Other suppliers.

Sea of Seats may not control the conduct, availability, quality, schedule, pricing or performance of such third parties.

The User acknowledges that certain contractual obligations may exist directly between the User and the relevant Service Provider.

14. User Conduct

Users agree to use the Platform only for lawful purposes.

Users must not:

1. Use the Platform for fraudulent activity;
2. Use stolen or unauthorised payment instruments;
3. Create fake accounts;
4. Provide false information;
5. Impersonate another individual or organisation;
6. Attempt to obtain unauthorised access;
7. Use bots or automated purchasing tools without permission;
8. Circumvent ticket limits;
9. Interfere with Platform security;
10. Upload malicious software;
11. Reverse engineer the Platform;
12. Copy Platform content without permission;
13. Infringe intellectual-property rights;
14. Harass Sea of Seats employees or service personnel;
15. Abuse customer-support channels;
16. Conduct unlawful ticket resale; or
17. Use the Platform in violation of applicable law.

15. Prohibited Automated Activity

Users shall not use:

• Bots;
• Scrapers;
• Crawlers;
• Automated purchasing systems;
• Scripts;
• Data-mining tools; or
• Similar technologies

to access, extract information from or purchase inventory through the Platform without prior written authorisation.

Sea of Seats may block or terminate accounts associated with unauthorised automated activity.

16. Ticket Purchase Limitations

Sea of Seats or a Service Provider may impose limits on the number of tickets that can be purchased by an individual User, account, household, payment method or other applicable category.

Transactions exceeding applicable limits may be cancelled where permitted by applicable law.

Any resulting refund shall be handled in accordance with the applicable refund policy.

17. Fraud Prevention

Sea of Seats may use automated and manual measures to detect:

• Fraud;
• Payment abuse;
• Account takeover;
• Unusual purchasing patterns;
• Ticketing abuse;
• Multiple-account misuse;
• Suspicious transactions; and
• Other security risks.

Sea of Seats may request additional verification before confirming or completing a transaction.

18. User Reviews and Content

Where the Platform permits reviews, ratings, comments or other content, Users agree not to submit content that is:

• False;
• Defamatory;
• Abusive;
• Threatening;
• Obscene;
• Discriminatory;
• Fraudulent;
• Infringing;
• Unlawful; or
• Malicious.

Sea of Seats may remove or restrict content that violates this Agreement or applicable law.

19. Intellectual Property

All Sea of Seats trademarks, logos, designs, software, databases, text, graphics, photographs, interfaces and other proprietary material are owned by or licensed to Sea of Seats and are protected under applicable intellectual-property laws.

Users receive a limited, non-exclusive, non-transferable right to access and use the Platform for personal and lawful purposes.

No User may reproduce, distribute, modify, sell, publish or commercially exploit Sea of Seats intellectual property without prior written authorisation.

20. Privacy

Sea of Seats may collect and process personal information in accordance with its Privacy Policy and applicable data-protection laws.

By using the Platform, you acknowledge that information may be processed for purposes including:

• Account management;
• Booking;
• Payment;
• Customer support;
• Fraud prevention;
• Communication;
• Analytics;
• Security;
• Legal compliance; and
• Other purposes described in the Privacy Policy.

The Privacy Policy forms part of this Agreement.

21. Electronic Communications

By using the Platform, you consent to receiving electronic communications relating to your account and transactions.

These may include:

• Emails;
• SMS;
• App notifications;
• WhatsApp or similar transactional communications, where applicable;
• Booking confirmations;
• Payment notifications;
• Refund updates;
• Security notifications; and
• Service-related messages.

Marketing communications shall be handled in accordance with applicable law and your applicable communication preferences.

22. Platform Content and Information

Sea of Seats attempts to provide accurate information concerning available products and services.

However, information may originate from third-party Service Providers.

Sea of Seats does not guarantee that all third-party information will always be complete, accurate or current.

Users should verify important booking details before completing payment.

23. Availability of Platform

Sea of Seats will make reasonable efforts to keep the Platform available.

However, temporary interruptions may occur due to:

• Maintenance;
• Technical issues;
• Internet failures;
• Server problems;
• Cybersecurity incidents;
• Third-party outages;
• System upgrades; or
• Circumstances beyond Sea of Seats' reasonable control.

24. Suspension or Termination of Account

Sea of Seats may suspend, restrict or terminate a User account where reasonably necessary due to:

• Violation of this Agreement;
• Fraudulent activity;
• Unauthorised payment activity;
• Security concerns;
• Abuse of the Platform;
• Illegal activity;
• Misuse of tickets;
• Repeated policy violations; or
• Legal or regulatory requirements.

Where appropriate and legally permissible, Sea of Seats may notify the User of the reason for such action.

25. Consequences of Termination

Upon termination:

• The User's access to the Platform may cease;
• Certain account features may become unavailable;
• Unused promotional benefits may be cancelled;
• Future bookings may be affected where legally and contractually permissible; and
• Outstanding obligations may continue until legally discharged.

Termination does not extinguish rights or obligations that arose before termination.

26. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Sea of Seats does not guarantee that:

• The Platform will always be available;
• The Platform will be completely error-free;
• Third-party information will always be accurate;
• Every event will take place as scheduled;
• Every Service Provider will perform as expected; or
• The Platform will be completely free from security threats.

Nothing in this Agreement excludes rights or liabilities that cannot lawfully be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Sea of Seats shall not be liable for indirect, incidental, consequential, special or exemplary losses arising from the use of the Platform or third-party services.

Where Sea of Seats is legally liable for a claim relating to a particular booking, its liability shall, to the extent permitted by law, generally be limited to the amount actually paid by the User to Sea of Seats for the affected booking.

Nothing in this Agreement limits liability that cannot legally be limited.

28. Indemnification

To the extent permitted by law, the User agrees to indemnify and hold harmless Sea of Seats, its affiliates, directors, officers, employees, agents and authorised representatives against claims, losses, damages, liabilities, costs and expenses arising from:

1. violation of this Agreement;
2. unlawful use of the Platform;
3. fraudulent conduct;
4. infringement of third-party rights;
5. misuse of tickets or bookings; or
6. violation of applicable laws.

29. Force Majeure

Sea of Seats shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

• Natural disasters;
• War;
• Terrorism;
• Civil unrest;
• Government restrictions;
• Pandemics;
• Strikes;
• Internet or telecommunications failures;
• Payment-system failures;
• Cyber incidents; or
• Service Provider failures.

30. Changes to This Agreement

Sea of Seats may modify this Agreement from time to time.

The updated Agreement will be published on the Platform and will contain a revised "Last Updated" date.

Where required by applicable law, appropriate notice may be provided to Users.

Continued use of the Platform following applicable changes may constitute acceptance of the revised Agreement.

31. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Nothing in this Agreement shall restrict mandatory rights available to consumers or Users under applicable law.

32. Dispute Resolution

Users are encouraged to first contact Sea of Seats to resolve any dispute or complaint.

Where appropriate, Sea of Seats and the User may attempt to resolve disputes through:

1. Customer support;
2. Internal grievance resolution;
3. Negotiation;
4. Mediation; or
5. Arbitration, where legally applicable and mutually agreed or otherwise lawfully invoked.

Nothing in this section prevents a User from exercising any mandatory statutory or consumer remedy.

33. Jurisdiction

Subject to applicable law and mandatory consumer rights, courts having competent jurisdiction at [City, State, India] shall have jurisdiction over disputes arising from or relating to this Agreement.

34. Grievance Redressal

For complaints relating to the Platform, account, booking or services, Users may contact:

Users should provide sufficient details, including booking ID or transaction reference where applicable, to enable investigation of the complaint.

35. Severability

If any provision of this Agreement is determined to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary.

The remaining provisions shall continue in effect.

36. Waiver

Failure by Sea of Seats to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.

37. Assignment

The User may not assign or transfer rights or obligations under this Agreement without the prior written consent of Sea of Seats.

Sea of Seats may assign its rights and obligations as part of a merger, acquisition, restructuring, sale of business or other lawful corporate transaction.

38. Entire Agreement

This User Agreement, together with the following documents, constitutes the contractual framework governing the User's relationship with Sea of Seats:

1. Terms & Conditions;
2. Privacy Policy;
3. Cancellation & Refund Policy;
4. Payment Policy;
5. Cookie Policy, where applicable; and
6. Any booking-specific terms displayed during the transaction.

In the event of a conflict, the applicable mandatory law shall prevail.

For a specific booking, booking-specific terms may apply to the extent they are not inconsistent with applicable law.

39. Electronic Acceptance

The User acknowledges that clicking:

• "I Agree"
• "Create Account"
• "Book Now"
• "Proceed to Payment"
• "Pay Now"

or otherwise accessing or using the Platform may constitute electronic acceptance of this Agreement, subject to applicable law.

Electronic records of acceptance, transactions and communications may be retained by Sea of Seats in accordance with applicable law.
